Timothy Brown is Board Certified in Commercial Real Estate by the Texas Board of Legal Specialization. He has extensive experience in real estate development, acquisitions, sales and financing. His practice includes the representation of real estate developers, lenders and investors, energy companies, financial institutions and commercial entities.

  • Represented a major worldwide refiner in the sale of interest in a fuel refinery to a non-U.S. entity and in the creation of a joint venture with the purchaser
  • Represented a major oil company in the three joint ventures that combined the fuel-refining activities of a client with the U.S. refining activities of two major energy companies
  • Represented a multinational petroleum company in its bid to acquire a refinery from a Louisiana refining company
  • Represented one of the top 15 energy companies in the world in the acquisition of a Y2 interest in a refinery and trading business in the Houston area
  • Represented numerous energy companies in their downstream activities, including the sale and acquisition of midstream and service-station facilities
  • Represented an international energy company in the acquisition and trading of upstream production
  • Represented an international energy and manufacturing companies in their activities in the United States and U.S. companies in other countries throughout the world; representation included transactional work and international arbitrations
  • Represented service companies, E&P companies, drilling contractors, and royalty and mineral owners in day-to-day activities, including some litigation and dispute arbitration
  • Handled the separation of the fuel refinery from an asphalt refinery within a major U.S. refining company; work included the creation of joint ownership, shared facilities and operating agreements to avoid public-utility issues
  • Handled the sale of a portion of the chemical business (resins and elastomers) in refineries worldwide, which entailed the separation of the facilities; establishment of co-ownership of the infrastructure; and extensive definition of, indemnity for, and reserve and limitations of liabilities, environmental conditions, etc. 
  • Separated five U.S. refineries into different entities that had a refining capacity of approximately 1,100,000 barrels per day in order to segregate the fuel refinery, the chemical manufacturing facilities, the asphalt businesses and, in certain circumstances, the downstream distribution facilities
